These Terms of Service ("Terms") govern your access to and use of the website at omniadrealityad.online and the OMNIAD platform and services (collectively, the "Services") provided by OMNIAD LLC ("OMNIAD," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
You must be at least 16 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
OMNIAD provides software for building, deploying, and governing AI applications, including agents, retrieval, document intelligence, observability, and governance tooling. We may modify, enhance, or discontinue features from time to time. Specific commercial terms, usage limits, and service levels are set out in the plan you select or in a separate order form or master agreement.

You retain all rights in the data and content you submit ("Customer Data"). You grant OMNIAD a limited license to process Customer Data solely to provide and support the Services. We retain all rights in the Services, including software, models we provide, and related intellectual property. Feedback you provide may be used by us without restriction.
The Services use artificial intelligence, which can produce inaccurate or incomplete output. You are responsible for reviewing output before relying on it, and for ensuring your use of the Services and any output complies with applicable law. OMNIAD does not warrant that output will be accurate, complete, or fit for a particular purpose.
Paid plans are billed in advance according to the pricing in effect when you subscribe. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and subject to change with notice for future billing periods. Late or failed payments may result in suspension.
Each party may receive non-public information from the other. The receiving party will protect such information with reasonable care and use it only to perform under these Terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, OMNIAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, OMNIAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless OMNIAD from claims arising out of your Customer Data or your breach of these Terms, except to the extent caused by OMNIAD's own breach.
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required for security or legal reasons. Upon termination, your right to use the Services ceases and we will handle Customer Data as described in your agreement and our Privacy Policy.
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. The exclusive venue for disputes will be the state or federal courts located in Wyoming, unless otherwise required by applicable law.
We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, additional notice. Continued use of the Services after changes take effect constitutes acceptance.
